By accessing or using Loops, including the website, application, and related services (the "Service"), you agree to be bound by these Terms of Service.

2. Description of the Service

Loops is a software platform designed to assist businesses with advertising production, creative strategy, and content creation workflows.

Loops provides digital tools intended to support brand analysis, content generation, creative ideation, and marketing operations.

Loops does not provide:

  • marketing guarantees,
  • advertising performance guarantees,
  • platform approval guarantees,
  • revenue guarantees,
  • or business outcome guarantees.

3. Eligibility

To use Loops, you must:

  • be at least 18 years old;
  • have the legal capacity to enter into binding agreements;
  • use the Service for lawful business or professional purposes only.

Account sharing is strictly prohibited unless otherwise expressly agreed in writing.

Each subscription grants access to one authorized user only unless otherwise explicitly agreed in writing.

4. Account Responsibility

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activity conducted under your account;
  • ensuring that your use of the Service complies with applicable law, third-party rights, and platform rules.

You must provide accurate, complete, and up-to-date information when creating an account.

Loops reserves the right to suspend or terminate accounts in case of abuse, unauthorized sharing, fraudulent activity, or violation of these Terms.

5. Subscription, Billing, and Payment

Loops offers monthly and annual subscription plans.

A trial period may be offered at Loops' sole discretion. Trials are not guaranteed and may be withdrawn, limited, or modified at any time.

Subscriptions:

  • are billed in advance;
  • renew automatically unless canceled before the next billing date;
  • may be canceled at any time;
  • are non-refundable, including for partial billing periods or unused time;
  • are processed exclusively via Stripe, our PCI-DSS compliant payment processor.

Failure to complete payment may result in suspension or termination of access to the Service.

Unless otherwise stated, all fees are exclusive of applicable taxes, duties, or similar governmental charges.

6. User Content and Customer Materials

You may upload, input, or submit materials to the Service, including but not limited to:

  • brand assets,
  • logos,
  • images,
  • briefs,
  • text.

You represent and warrant that:

  • you own or control all rights necessary to use such materials with Loops;
  • your use of such materials does not violate any law, contract, or third-party right;
  • you have obtained any necessary permissions, consents, and authorizations.

You remain solely responsible for the legality, accuracy, and appropriateness of all materials you upload or generate through the Service.

7. Ownership and Intellectual Property

As between you and Loops, you retain full ownership of:

  • all materials you upload (brand assets, logos, images, briefs, text);
  • all outputs generated through the Service (visuals, text, briefs).

You grant Loops a non-exclusive, worldwide, royalty-free license to host, copy, process, and reproduce your uploaded materials and generated outputs strictly to the extent necessary to provide, operate, maintain, and secure the Service .

For the avoidance of doubt:

  • Loops does not use your materials or outputs to train, fine-tune, or improve artificial intelligence or machine learning models, and contractually requires the same from its sub-processors;
  • Loops does not use, display, or reference your materials, outputs, or brand for marketing, promotional, or any other purposes without your prior written consent;
  • Loops does not claim any ownership over your brand assets, logos, or underlying business materials;
  • this license terminates upon deletion of the relevant materials or of your account, subject only to legally required retention.

All rights, title, and interest in and to the Loops platform itself, including its software, interfaces, design, branding, documentation, workflows, and underlying technology, remain the exclusive property of Loops and its licensors.

9. Acceptable Use

Loops treats all non-public materials, data, and information that you upload to or generate through the Service as confidential. Loops will not disclose such information to any third party except (i) to its sub-processors as strictly necessary to provide the Service, under contractual confidentiality and data protection obligations, (ii) with your prior consent, or (iii) where required by law or by a competent authority.

10. Third-Party Platforms and Services

You agree not to use Loops to create, distribute, store, or promote:

  • illegal content;
  • defamatory content;
  • adult content;
  • spam;
  • content that infringes intellectual property rights;

You also agree not to:

  • reverse engineer, interfere with, or disrupt the Service;
  • bypass usage restrictions or security measures;
  • use the Service to harm Loops, its systems, or other users.

Loops may suspend or terminate accounts without notice in case of violation.

11. Privacy and Data Protection

Loops processes personal data in accordance with its Privacy Policy and with Regulation (EU) 2016/679 (GDPR) and French data protection law.

Customer data is hosted within the European Union . Where a sub-processor processes data outside the EU/EEA, transfers are secured by appropriate safeguards under Chapter V of the GDPR, including the European Commission's Standard Contractual Clauses.

The list of Loops' sub-processors, their roles, and the applicable transfer safeguards is set out in the Privacy Policy. Where Loops processes personal data on behalf of a business client, a data processing agreement (DPA) compliant with Article 28 GDPR is available on request.

Loops implements technical and organizational security measures appropriate to the risk, including encryption in transit and at rest and access controls. No system can guarantee absolute security; in the event of a personal data breach, Loops will comply with its notification obligations under Articles 33 and 34 GDPR.

12. No Warranty

Loops processes personal data in accordance with its Privacy Policy.

By using the Service, you acknowledge that certain personal data and business data may be collected and processed as necessary to provide, maintain, secure, and improve the Service.

Data hosting is intended to be located within the European Union.

Loops implements reasonable technical and organizational security measures but does not guarantee absolute security.

13. Limitation of Liability

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Loops disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

Loops does not warrant that:

  • the Service will be error-free,
  • the outputs will meet your expectations,
  • the outputs will be approved by advertising platforms,

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence or willful misconduct.

14. Suspension and Termination

To the maximum extent permitted by law:

  • Loops’ total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total amount paid by you to Loops during the twelve (12) months preceding the event giving rise to the claim;
  • Loops shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Loops shall not be liable for loss of profits, loss of revenue, loss of business opportunity, loss of data, reputational harm, advertising account suspensions, or business interruption.

15. Changes to the Terms

Loops reserves the right to modify these Terms at any time.

In case of material changes, Loops will notify you by email or in-app notice at least thirty (30) days before the updated Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you may cancel your subscription before they take effect.

16. Governing Law and Jurisdiction

Loops reserves the right to modify these Terms at any time.

Updated Terms will become effective upon posting, unless otherwise stated.

Your continued use of the Service after any update constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of France.

Any dispute arising out of or relating to these Terms or the Service shall fall under the exclusive jurisdiction of the courts of Paris, France, subject to any mandatory rule of applicable law.
